WILDPACKETS (fka AG GROUP, INC.) ANNOUNCES INTENT TO ACQUIRE NET3 GROUP, INC.

Acquisition will enhance products, product development

WALNUT CREEK, California - September 22, 2000

WildPackets, formerly known as AG Group, Inc., developers of EtherPeek and a leading provider of software tools that deliver real-time, strategic information about an organization's network and Internet presence, announced today that it intends to sign a definitive letter of agreement to acquire Net3 Group, a software development and professional services company. Net3 Group fills a market niche by focusing exclusively on network analysis in the areas of consulting, training, and value-added software. Their current product offerings include NetSense™, ProConvert™, NetDoppler™ and IP Subnet Calculator.

"The acquisition of Net3 Group adds extra dimension to our product offerings, as well as technical expertise that complements our existing development and training resources," states Mahboud Zabetian, President and CEO of WildPackets. "More importantly, it fits with our strategy of enhancing our product mix around our core competencies - packet analysis and packet stream building. Net3 Group's products and services fall neatly in line with our goal of extending our reach to new areas of network management."

The first project resulting from the combined organization will be a NetSense Plug-in for EtherPeek that will add real-time expert client/server and peer-to-peer transaction analysis capabilities to the software.
