WildPackets Completes Acquisition of Net3 Group

Combined company poised for exponential growth in network management market

WALNUT CREEK, California and ST. PAUL, Minnesota - November 20, 2000

WildPackets, Inc., developers of EtherPeek and a leading provider of software tools that deliver real-time, strategic information about an organization's network and Internet presence, announced today that they have finalized an agreement to acquire Net3 Group, a software development and professional services company based in St. Paul, Minnesota.

"WildPackets is moving into a new phase, fueled by the broad acceptance of EtherPeek as the packet analyzer of choice for many small, medium and large enterprise customers, by the exponential growth of our training division and by our imminent foray into the wireless packet analysis market." states Mahboud Zabetian, President and CEO. "The Net3 Group acquisition brings the company vital talent and the additional resources necessary to reach our very aggressive product development, professional services and revenue goals for the next three to five years."

Since its inception four years ago, Net3 Group has gained industry-wide recognition for expertise in network analysis and troubleshooting. Knowledge gained by the company from years of consulting and troubleshooting experience led to the development of unique tools such as NetDoppler, ProConvert, NetSense, and the IP Subnet Calculator, which were specifically created to complement the feature sets of protocol and network analyzers.

Net3 Group's founder, J. Scott Haugdahl, brings many years of product design and engineering experience to his new role as Vice President of Analysis Technology for WildPackets. He is also a well-known writer and frequent contributor to industry publications, and the author of "Network Analysis and Troubleshooting", the first book to focus on practical analysis and troubleshooting techniques while avoiding lengthy rehashing of previously well-documented protocol standards.

According to a recent study by Infonetics Research, network management hardware and software expenditures in the US will grow to $2.4 billion by 2004.
